These terms apply when you use this website or request an invitation. They are short on purpose. Please read them.

1.Who we are

2.Accepting these terms

By using this site you accept these terms. If you do not accept them, please do not use the site. You must be 18 or older to request an invitation.

3.No offer of securities, no advice

Nothing on this site, in our emails, in a briefing or in any material we share is an offer to sell, or a solicitation of an offer to buy, any security, financial instrument or other interest in Novum Labs, Salfati Group GmbH or any related company, in any jurisdiction.

None of it is a prospectus or advertising for a financial instrument under the Swiss Financial Services Act (FinSA). None of it is a general solicitation or general advertising of securities under Regulation D of the US Securities Act of 1933, and no securities have been registered under that Act.

Nothing here is investment, legal, tax or other professional advice. Do not make any financial decision based on this site. If an investment opportunity is ever made available, it will be offered only through separate documentation, only to people who are eligible under the applicable law, and only where the law allows.

4.What this site is

An early look at Novum Labs. The content is for information only. It may change or be removed without notice.

5.Your invitation request

Requesting an invitation gives you no right to anything. In particular, it gives you no right to access, membership, an invitation, a briefing, information about our work, an allocation or any other benefit.

We decide whom to invite, when, and on what terms, at our own discretion. A person reviews requests. We may decline or remove any request without giving a reason. You can withdraw your request at any time, with the unsubscribe link in any email or by writing to us. Our Privacy Policy explains how we handle your data.

6.Your conduct

Do not misuse the site. In particular:

• Do not submit another person’s email address, or false information.
• Do not try to disrupt, overload, probe or gain unauthorised access to the site or its systems.
• Do not scrape, copy or automate access to the site, except for search engines and other automated agents that respect our robots.txt.

7.Confidential material

We may share non-public information with you, for example in an invitation or a briefing. If we do, you agree to keep it confidential, to use it only to evaluate Novum Labs, and not to pass it on, unless we agree otherwise in writing. This duty continues after you leave the list.

8.Intellectual property

The Novum Labs name, the Keystone mark, and all content and design on this site belong to Salfati Group GmbH or its licensors. You may view the site and share links to it. Any other use requires our written permission.

9.Feedback

If you send us ideas or feedback, we may use them freely and without any obligation to you.

10.Links to other sites

Links to other websites are for convenience. We are not responsible for their content or their practices.

11.Availability

We provide the site as it is and as available. We do not promise that it will always be available, free of errors or accurate.

12.Liability

To the extent the law allows, we exclude liability for any damage arising from your use of the site or from reliance on its content.

This does not limit liability for intent or gross negligence (Art. 100 of the Swiss Code of Obligations), for injury to life, body or health, or any other liability that cannot be excluded by law. Mandatory consumer protection that applies to you remains unaffected.

13.Changes

We may update these terms. The version published here, with its effective date, applies from that date. If you keep using the site after a change, you accept the updated terms.

14.Governing law and venue

These terms are governed by Swiss law, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods.

The courts of Zug, Switzerland, have exclusive jurisdiction, unless mandatory law gives you the right to bring a claim where you live.
